1. About These Terms

These Website Terms and Legal Disclaimer ("Terms") govern access to and use of the website and digital services operated by Heltavel Legal Practitioners, publicly known as Heltavel LP ("Heltavel", "the Firm", "we", "our" or "us").

By accessing or using the website, you agree to use it in accordance with these Terms and applicable law. If you do not agree with these Terms, you should discontinue use of the website. These Terms apply to general website visitors, prospective clients, clients using the case-update portal, newsletter subscribers and other persons who interact with the Firm through the website.

2. Purpose of the Website

The website provides general information about Heltavel LP, its practice areas, legal insights, announcements, consultation channels and selected digital services. The website is intended to support communication and access to information. It is not a substitute for a formal consultation or advice based on the complete facts of a particular matter.

3. General Information Only

Articles, updates, announcements, practice-area descriptions and other materials published on the website are provided for general informational purposes only. They do not constitute legal advice, a legal opinion, a recommendation to take or avoid any action, or a complete statement of Nigerian law.

Legal rules and procedures may change, and their application depends on the facts of each matter. You should obtain advice from a qualified legal practitioner before relying on website content in relation to a specific legal problem.

4. No Automatic Lawyer-Client Relationship

Viewing the website, submitting a consultation request, receiving an automated acknowledgement, exchanging preliminary communications, receiving an invoice, obtaining a case reference or accessing a preliminary case page does not, by itself, create a lawyer-client relationship.

A lawyer-client relationship arises only where Heltavel LP has expressly accepted the instructions and the prospective client has agreed to the applicable engagement terms and paid the amount stated in the relevant bill of charges, or satisfied any alternative condition expressly confirmed by the Firm in writing.

5. Formal Engagement Requirements

The scope of legal services, professional fees, responsibilities of the Firm and client, and any other engagement conditions will be governed by the applicable engagement letter, terms of engagement, bill of charges or other written agreement issued by Heltavel LP.

Where these Website Terms conflict with an executed engagement document concerning professional legal services, the engagement document will prevail to the extent of the conflict.

6. Communications Before Engagement

Before formal engagement, Heltavel LP may review information provided to assess the nature of an enquiry, conduct conflict checks, determine whether the Firm can assist, request further information and communicate a preliminary decision.

You should provide information that is accurate and reasonably necessary for assessment of the enquiry. You should not assume that the Firm is protecting a deadline, filing a process, attending a proceeding or taking any substantive legal step unless the Firm has formally accepted the matter and confirmed responsibility for that step.

7. Confidentiality Before Formal Acceptance

Heltavel LP will handle consultation information with professional care and appropriate confidentiality, subject to applicable law, professional obligations and the use of authorised service providers supporting the Firm's operations.

8. Conflict Checks

Heltavel LP may use information supplied during an enquiry to conduct conflict checks and determine whether professional rules or existing obligations prevent the Firm from acting.

The Firm may decline an enquiry or withdraw from preliminary discussions where a conflict, legal restriction, capacity issue or other professional reason prevents acceptance. The Firm is not required to disclose confidential information relating to another client when explaining a conflict decision.

9. No Guarantee of Acceptance or Outcome

Submission of an enquiry does not guarantee that Heltavel LP will accept the matter. Where a matter is accepted, the Firm does not guarantee a particular result, judgment, settlement, regulatory decision, transaction outcome or completion date.

Legal outcomes depend on facts, evidence, applicable law, courts, regulators, counterparties and other matters outside the Firm's control.

10. Accuracy and Currency of Website Information

Heltavel LP aims to publish accurate and useful information. However, the Firm does not guarantee that every item on the website is complete, error-free or current at all times.

Articles and legal updates may become outdated after publication because of changes in legislation, regulations, judicial decisions, procedure or practice. Publication dates should be considered when reading website content.

11. Consultation Requests

The consultation form is provided to help prospective clients submit preliminary information for review. All required fields should be completed accurately.

An acknowledgement that the Firm has received a request means only that the request has entered the review process. It does not confirm acceptance of instructions, establish a lawyer-client relationship or guarantee that Heltavel LP will act on the matter.

12. Automated Administrative Assistance

Heltavel LP may use automated systems to assist with organising, categorising, summarising and routing consultation requests and generating administrative communications.

Automated systems do not make the final decision on whether Heltavel LP accepts a matter and do not replace the judgment of a qualified legal practitioner. Final engagement decisions are made by authorised legal personnel.

13. Case-Update Portal

The case-update portal is available only to persons authorised by Heltavel LP. Access requires the case reference issued by the Firm together with the email address or telephone number registered for the matter.

Information displayed through the portal may include the client's name or initials, case reference, practice area, current status, lawyer responsible, date of the latest update, latest update, next step, important dates and authorised document links.

Portal information is intended as a convenient status summary. It may not contain the complete case file, every communication or every development, and it does not replace direct advice from the lawyer responsible for the matter.

14. Portal Security and User Responsibilities

Users must keep case references and related access information private and must not share them with unauthorised persons.

A user must not attempt to access another person's matter, test or guess another case reference, interfere with portal security, use automated tools to make repeated access attempts, or obtain information beyond the access granted by Heltavel LP.

Heltavel LP may suspend, restrict or disable portal access where necessary to protect confidentiality, investigate suspected misuse, maintain the system, close a matter or comply with legal and professional obligations.

15. Case Documents

Where documents are made available through the portal, access is limited to authorised users and may be time-limited. Users are responsible for downloading and securing documents made available to them.

Document access may be withdrawn after a matter closes or after a reasonable download period. A document link must not be shared with an unauthorised person. The Firm may remove, replace or restrict a document where required for confidentiality, security, accuracy or legal reasons.

16. Payments, Fees and Invoices

Where the website supports payments, Heltavel LP may use an external payment service provider to process transactions relating to legal services.

Payment is subject to confirmation by the payment provider and the Firm. A screenshot, pending transaction or unverified notification does not constitute confirmed payment. Heltavel LP may retain transaction references, payment status, invoices and receipts for administration, accounting and service delivery.

The treatment of deposits, professional fees, disbursements, refunds and outstanding balances will be governed by the relevant engagement terms, bill of charges or written agreement. Heltavel LP does not store full payment-card details on the website.

17. Newsletter and Firm Communications

A person who subscribes to Heltavel LP's newsletter may receive legal insights, announcements and firm updates. Consultation users are not automatically subscribed.

A subscriber may unsubscribe by following the method stated in the communication or by contacting the Firm. Unsubscribing does not affect service-related communications concerning an active consultation, payment or legal matter.

19. Intellectual Property

Unless otherwise stated, the website design, Heltavel LP name and branding, articles, text, graphics, photographs, publications and other original materials on the website belong to Heltavel Legal Practitioners or are used with permission.

Users may view and print reasonable extracts for personal, non-commercial and lawful use, provided that the material is not altered and appropriate attribution is retained.

20. Prohibited Copying and Commercial Reuse

Without prior written permission, users must not reproduce substantial parts of the website, republish articles, use website content for commercial training or publication, remove copyright notices, copy the website design, create misleading derivative materials, or present Heltavel LP content as their own.

Nothing in these Terms prevents use that is expressly permitted by applicable copyright law.

21. Acceptable Website Use

Users must use the website lawfully and in a manner that does not damage, disable, overload or impair the website or interfere with another person's use.

Users must not upload or transmit malware, attempt unauthorised access, bypass security controls, scrape protected areas, impersonate another person, submit false or misleading information, or use the website for fraud, harassment or unlawful activity.

22. Website Availability

Heltavel LP aims to maintain a functional and accessible website but does not guarantee uninterrupted or error-free availability.

Access may be delayed, restricted or unavailable because of maintenance, upgrades, cybersecurity measures, internet failure, hosting interruptions, third-party service outages, legal requirements or events outside the Firm's reasonable control.

23. Cybersecurity and Electronic Transmission

Heltavel LP uses reasonable administrative, technical and organisational measures designed to protect information. However, no website, email system or internet transmission is completely secure.

Users should take reasonable precautions when communicating electronically and should promptly inform the Firm if they suspect that a case reference, email account, telephone number, portal access method or document link has been compromised.

24. Privacy

The collection and processing of personal information through the website are governed by Heltavel LP's Privacy Policy. These Terms should be read together with that Policy and any specific notice displayed on a form or portal.

25. Limitation of Liability

To the extent permitted by applicable law, Heltavel LP will not be liable solely because a user relied on general website information without obtaining advice specific to the user's circumstances, followed an external link, experienced temporary website unavailability, or suffered loss resulting from unauthorised use of access information that the user failed to protect.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded, or any obligation or liability arising from professional legal services provided under a formal engagement.

26. Suspension and Termination of Access

Heltavel LP may suspend or terminate access to any restricted part of the website where a user breaches these Terms, threatens website security, attempts unauthorised access, no longer requires access, or where suspension is necessary for legal, professional, operational or security reasons.

27. Changes to These Terms

Heltavel LP may amend these Terms to reflect changes in law, technology, website functionality, professional practice or the Firm's operations.

The revised Terms will take effect when published on the website unless a later date is stated. Continued use of the website after publication of revised Terms constitutes acceptance of the revised version for future use.

28. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Subject to any applicable engagement agreement or dispute-resolution arrangement, disputes relating solely to use of the website or these Terms will be subject to the jurisdiction of courts of competent jurisdiction in Nigeria.
